Counsel for companies — and the people who build them.

We advise startups, emerging-growth companies, established owner-led businesses and family enterprises through formation, growth, financing, acquisitions, leadership transitions and exit.

Legal Architecture

The higher you build, the stronger the foundation must be.

A company may begin with a founder, a handshake or a single customer. What supports the business at the beginning may not support the business it intends to become.

We help clients build deliberately — establishing the foundation, reinforcing the framework and preparing each stage to support the next.

WHO WE SERVE

Built around the company, not a stage or an industry label.

Our company-side practice spans the innovation economy and the essential industries behind modern growth.

Startups

The decisions you make now will be priced into every round

Founder equity, early hires, SAFEs and first customer contracts set terms the company will live with for years. We help founders build those foundations deliberately, then carry the company through financing, growth and an eventual exit.

Private Companies

The business has outgrown the way it was first put together.

Established and owner-led companies often carry agreements and ownership arrangements that made sense years ago. We help owners bring that framework in line with the business they run today, from governance and key contracts through acquisitions, succession and sale.

Digital Agencies

You hand over valuable work every week. Are the terms keeping up?

Agencies run on master services agreements, statements of work, contractors and client data, often signed faster than they are read. We help agency owners put sound terms behind the work, so ownership, liability and payment are settled before a dispute makes them urgent.

Consumer Brands

A brand is only as valuable as the contracts behind it.

Consumer and beverage brands grow through distributors, co-packers, retailers and investors, and every one of those relationships carries terms. We help founders and owners structure them to protect the brand’s value, from early financing through a sale to a strategic acquirer.

Essential Industries

Investors have noticed the businesses AI cannot replace.

Trades, contractors and design firms are drawing new interest from buyers and private equity, often before their owners have a lawyer of their own. We provide the outside counsel larger companies take for granted: sound contracts, clear ownership and a plan for what comes next.
